Terms of Service

1. Introduction

Welcome to StallCatalog. These Terms of Service ("Terms") govern your use of the StallCatalog website and platform (the "Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

StallCatalog is a product of Codekik Technologies ("Company"), built by the FullGuest team. References to "StallCatalog", "we", "us" or "our" include Codekik Technologies, its parent company, subsidiaries, affiliates, officers, directors, employees, agents, licensors, partners and successors.

StallCatalog is a technology platform that lets exhibitors ("Exhibitors") publish digital catalogues, share them with prospects ("Prospects") and track engagement. We act solely as a technology service provider.

2. Platform Role and Limitations

StallCatalog is a platform provider only. We do not:

• Manufacture, sell, ship or warrant any product shown in a catalogue
• Set or verify prices, specifications, MOQs or availability published by Exhibitors
• Act as a party to any enquiry, quotation, order or contract between an Exhibitor and a Prospect
• Employ or control the staff of Exhibitors
• Guarantee that any Prospect will respond to, or transact with, an Exhibitor

3. Exhibitor Responsibilities

As an Exhibitor, you agree that:

• You own or are licensed to use the catalogue content, logos and images you upload
• Catalogue information is your responsibility; you will review AI-extracted products, specs and prices before publishing
• You will only enter a Prospect's name and mobile number, and only send WhatsApp messages, where you have a lawful basis to do so and the Prospect has asked for, or reasonably expects, your catalogue
• You are the controller of Prospect data collected through your catalogue and will handle it in line with applicable law and our Privacy Policy
• You will not use the Platform to send unsolicited bulk messages, or to collect data for purposes unrelated to your catalogue
• Staff logins are for your own team; you are responsible for their use of the Platform

4. Prospect Responsibilities

As a Prospect, you agree to provide accurate details when verifying by OTP, to direct enquiries, quotations and disputes to the Exhibitor, and not to misuse the Platform or harass Exhibitors or their staff.

5. Plans, Fees and Renewal

• The free catalogue tier carries a "Powered by StallCatalog" badge and may have feature limits published on our pricing page
• Expo Pass and the AI Assistant add-on are charged per event and cover the event period you select; Catalog Pro is charged yearly
• Prices are stated exclusive of applicable taxes; USD figures are indicative
• Fees are non-refundable once an event period or subscription term has started, except where required by law
• We may change prices with notice; changes apply from your next renewal or purchase

6. Disclaimer of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STALLCATALOG SHALL NOT BE LIABLE FOR:

• Catalogue accuracy: errors in products, specs, prices, MOQs or images, whether uploaded by an Exhibitor or extracted by AI
• AI-generated content: mistakes made by AI extraction or the AI assistant, including incorrect answers to Prospect questions. AI output is a convenience and must be verified with the Exhibitor
• Message delivery: WhatsApp or OTP messages that are delayed, blocked or undelivered by carriers or messaging providers
• Exhibitor or Prospect conduct: any act, omission, misconduct or dispute between Exhibitors and Prospects
• Third-party services: outages or failures of hosting, messaging, AI or payment providers
• Commercial outcomes: the number or quality of leads, or any sale that does or does not result

7. Intellectual Property

The Platform, its software, design and branding are owned by or licensed to StallCatalog. Catalogue content remains the property of the Exhibitor, who grants us a licence to host, process and display it to provide the service.

8. Indemnification

You agree to indemnify, defend and hold harmless StallCatalog, Codekik Technologies and their respective affiliates, officers, directors, employees, agents, licensors, partners and successors from any claims, damages, losses, liabilities, costs or expenses (including legal fees) arising from your use of the Platform, the content you publish, the messages you send, your violation of these Terms, or your infringement of any third-party rights.

9. Limitation of Liability

IN NO EVENT SHALL STALLCATALOG'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO STALLCATALOG (IF ANY) IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. STALLCATALOG SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES.

10. Dispute Resolution and Governing Law

These Terms are governed by the laws of India. Any dispute arising from use of the Platform shall be resolved through arbitration conducted in Ahmedabad, India. You agree to waive any right to participate in class action lawsuits against StallCatalog.

11. Modifications

We may modify these Terms at any time. Continued use of the Platform after changes constitutes acceptance of the modified Terms.
